1. Introduction

These Terms & Conditions (“Terms”) govern your use of the LifestyleHealths mobile application (“App”) and the informational website LifestyleHealths.com (“Landing Page”).

The Landing Page exists solely to provide general information and direct users to download the App from authorized app stores. All services, features, and user interactions occur within the App, not on the Landing Page.

By downloading, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Important: These Terms include a dispute resolution clause that affects your legal rights.

2. Critical Medical Disclaimer

LifestyleHealths is a wellness and lifestyle support application. It is NOT a medical service and must not be used as a substitute for professional medical care.

The App does NOT:

  • Provide medical advice
  • Diagnose, treat, cure, or prevent any disease
  • Offer individualized medical recommendations
  • Monitor or manage medical conditions
  • Replace a licensed healthcare professional
  • Provide emergency services

All content within the App is general informational support only and is not tailored to any individual’s medical needs.

Always consult a licensed physician or qualified healthcare provider before making decisions related to your health, medications, weightloss treatments, or medical conditions.

If you experience a medical emergency, call 911 or your local emergency number immediately.

3. No Medical Device Classification

LifestyleHealths is not intended to function as a medical device under FDA regulations or any similar regulatory framework.

The App does not:

  • Collect or analyze biometric data for medical purposes
  • Provide diagnostic interpretations
  • Offer clinical decision support
  • Replace medical equipment or medical monitoring tools

Any healthrelated information is nondiagnostic, nonclinical, and not actionable medical data.

4. Ownership & Intellectual Property

All content, features, functionality, and materials within the App and Landing Page—including text, graphics, logos, images, videos, UI elements, and downloadable files—are the exclusive property of Novi Ventures LLC, a Delaware company.

You may not copy, reproduce, modify, distribute, or exploit any content without prior written permission.

5. Acceptable Use Policy

You agree not to:

  • Harass, abuse, or harm other users
  • Violate intellectual property rights
  • Attempt to hack, disrupt, or reverseengineer the App
  • Engage in fraudulent or deceptive activity
  • Post offensive, harmful, or inappropriate content
  • Scrape data or use automated tools
  • Use the App for unauthorized commercial purposes

Violations may result in suspension or termination of access.

6. ThirdParty Services

The App may integrate with thirdparty services such as payment processors, analytics tools, or external resources. Novi Ventures LLC does not control or guarantee the accuracy, security, or policies of these third parties.

Your interactions with thirdparty providers are solely between you and the provider.

The Landing Page may contain links to external websites. Novi Ventures LLC is not responsible for their content, privacy practices, or terms. You are encouraged to review the policies of any thirdparty site you visit.

8. Limitation of Liability

To the fullest extent permitted by law, Novi Ventures LLC and its officers, employees, contractors, and affiliates are not liable for:

  • Health outcomes
  • Decisions made based on App content
  • Losses or damages from use or inability to use the App
  • Thirdparty services
  • Usergenerated content
  • Technical issues, outages, or data loss

Your use of the App is at your own risk.

9. Indemnification

You agree to indemnify and hold harmless Novi Ventures LLC from any claims, damages, liabilities, or expenses arising from your use of the App or violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflictoflaw principles.

11. Dispute Resolution

If a dispute cannot be resolved informally, both parties agree to:

  • Nonbinding mediation, and if unsuccessful,

Binding arbitration before a mutually agreedupon neutral arbitrator.

Costs of mediation or arbitration will be shared equally.

Both parties retain the right to:

  • Bring smallclaims actions
  • Seek injunctive relief
  • Pursue intellectual property claims

13. Severability
